AWAS Group - Advising on USD 100 mln Lease and Mortgage of Boeing and Airbus Aircraft

Vasil Kisil & Partners acted as a local legal advisor and rendered full legal support to AWAS Group (Ireland) regarding lease to leading Ukrainian aviation companies and mortgage under Ukrainian law of two Boeing 737-800 and one Airbus A330-200 aircraft.

VKP lawyers drafted respective transaction documents and issued legal opinions in respect of compliance of the transaction with the applicable Ukrainian laws, obligatory insurance, customs and tax regulations, international and Ukrainian aviation safety rules, all necessary governmental, regulatory and other relevant approvals and authorizations of Ukrainian civil aviation authority (Ukrainian CAA), proper aircraft documentation, remedies against possible unauthorized alienation or liens against the aircraft.

VKP also dealt with registration of mortgages with the State Register of Encumbrances of Movable Property and performed the necessary procedures within the framework of the Cape Town Convention on International Interests in Mobile Equipment for registration of AWAS interest in the International Registry of Mobile Assets.

Transaction value is around USD 100 mln. Assets value exceeds USD 300 mln.
