SEB Group (Sweden) – acquisition of a USD 120 mln controlling stake in JSB Factorial Bank (Kharkiv, Ukraine) and legal advice regarding Ukrainian subsidiary banks’ merger

Acting on behalf of the purchaser in planning and structuring the acquisition transaction, including performance of a legal audit, drafting and negotiating the transaction documentation, executing and closing the transaction (including regulatory approvals from the Ukrainian competition authority and the National Bank of Ukraine), and implementation of the post-closing matters. Advising the client in respect to the contemplated merger of its Ukrainian subsidiary banks.
