The journal is devoted to the problems in the corporate board practices appearing as a result of both well-known "separation of ownership and control" problem and new ones such as overcompensation of directors, lack of accountability, weak social responsibility. We write on board size and composition, board committees, board roles, director and executive compensation, director election, director independence.

The title of the journal reflects the oldest issue of corporate governance - issue of separation of ownership and control.
