IMEPOWER Mailing List Powered by eGroups IMEPOWER Investment Group is the name of the consortium created by several Ukrainian companies to promote services of these companies to a wide range of international investors interested in privatization or development of investment projects in the energy sector of Ukraine. Major members of IMEPOWER consortium are INEKO-Management, Energy Consulting Group, Energy, Energy Capital, Internet Projects, Corporation Eco-Energo-Engineering. Brief information on activities of each company is presented below. INEKO-Management has been authorized by other consortium members to maintain this web site with information on the investment opportunities in the energy sector of Ukraine and services offered in this regard by the IMEPOWER Consortium. INEKO-Management The company emerged in 1997 from investment banking and corporate finance departments of INEKO Investment Company. Specialists of the company have more than ten years of transaction experience at the Ukrainian capital market and participated actively in the development of its institutional and legislative framework. The company has been advisor to the State Property Fund and the Ministry of Fuel and Energy on privatisation of energy companies and implementation of investment projects in energy sector. Experts of the company took part in the development of the legislative framework for energy sector privatisation and the Draft State Privatisation Program for 2003-2008. INEKO-Management is a registered consultant on economic, financial and legal issues with the National Electricity Regulatory Commission of Ukraine (NERC) as well as with the Board of the Wholesale Electricity Market (WEM). In 2002, the company became an accredited consultant with the Parliament Committee on Fuel and Energy Sector, Nuclear Policy and Nuclear Safety. The company has been financial, economic and legal advisor to the largest Ukrainian energy companies on the issues related to corporatisation, privatisation, corporate governance, investments, financial recovery, restructuring, bankruptcy, operations at the Wholesale Electricity Market, tariff policy, regulation, and strategy development. INEKO-Management has been involved in structuring and implementation of large investment projects in the Ukrainian energy sector, including completion of construction of Dniester Hydro Pumped Storage Station (project value - $480 million), Kanev Hydro Pumped Storage Station, Dobrotvir Thermal Power Station-2 (project value - $120 million), reconstruction of Burshtyn TPS, Mironovskaya TPS, Kharkiv CHPP-5. In 2003-2005, the company, on behalf of the WEM Board and Parliament Committee on Fuel and Energy Sector, prepared the Draft Law "On Arrangements Aimed at Stable Operation of Enterprises in the Fuel and Energy" creating the framework for resolution of the debt problem in fuel and energy sector and coordinated the process of its public discussions and review by the Parliament. The Law was passed in June 2005. Currently, experts of INEKO-Management are involved in creation and institutional support of the Energy Debt Settlement Center - key infrastructure element for performing multi-billion repayment and restructuring of the debts of fuel and energy enterprises. In 2002, experts of the company were the members of the Government Interagency Working Group responsible for development and implementation of the Concept of reformation and development of the Wholesale Electricity Market in Ukraine. Currently, representatives of INEKO-Management participate actively in operations of several official working groups dealing with implementation of the WEM Concept. During many years INEKO-Management served as financial, economic, legal and privatisation advisor to international energy companies such as Tractebel, Union Fenosa International, AES Corporation, EDF International, FondElec Group and many others. Experts of the company have extensive experience of financial, legal and technical due diligence of Ukrainian energy companies, preparation of financial and tariff models, valuation of companies and investment projects. INEKO-Management has significant experience of participation in the international technical assistance projects financed by USAID, World Bank, European Commission, EBRD and other international financial organisations. In 1999-2003, the company was a major partner of Deloitte Touche Tohmatsu EMG in USAID-funded "Ukraine Energy Privatisation Support Project", which assisted the Government of Ukraine in preparation of the strategy for privatization of energy companies, organization of sale of the majority stakes in 6 energy distribution companies and increase of their investment attractiveness, improving regulatory framework in energy sector, preparation of the debt restructuring strategy for energy companies, evaluation of energy companies, investor marketing. In 2002, INEKO-Management was contracted by the World Bank (with funding provided by PPIAF) to prepare the study "Strategic Issues on the Energy Sector Relating to Privatisation of Thermal Power Generation Assets in Ukraine". The company was responsible for detailed due diligence of core and non-core assets, evaluation of power generating companies, and preparation of recommendations for their restructuring and privatisation. In 2004, INEKO-Management and Energy were selected by the Ministry of Economy of Ukraine and the World Bank to provide assistance to the Ministry of Fuel and Energy of Ukraine in preparing the Comprehensive Financial Recovery Plan for the Energy Sector in the framework of the World Bank's Programmatic Adjustment Loan Program. The Plan was approved by the Government of Ukraine in May 2005. In 2003-2005, INEKO-Management was a local partner of the international consortium led by French company BCEOM in the TACIS-funded project "Support and Strengthen the Energy Market Reform and Assessment of the Energy Sector Sustainability" providing institutional support to the Ministry of Fuel and Energy and NERC and working on liberalization of electricity and gas markets. In 2001, INEKO-Management together with Energy Consulting Group EnCoG and Ukrainian International Currency Exchange developed the Concept and mechanism of introduction of the exchange trading with derivatives (futures) for electricity that will be implemented in Ukraine in course of the Wholesale Electricity Market reform. In 2002, INEKO-Management and Energy Consulting Group together with the Association of Ukrainian Cogeneration Plants prepared the Strategy of Privatization of Ukrainian Combined Heat and Power Plants, which included detailed recommendations on reform of the system of state regulation of CHP operations and increase of their investment attractiveness. In 2003-2004, INEKO-Management has prepared comprehensive corporate and financial restructuring plan for Donbassenergo power generating company aimed at separation and optimization of non-core assets, restructuring the company's debts and increasing overall efficiency of its operations. INEKO-Management has a license for legal practice № 1-5412 issued on December 7, 1999 and can represent client interests as a law firm at the territory of Ukraine. We provide legal advice to our clients on corporate governance, investments, taxes, restructuring, corporatisation, privatisation, capital market transactions, functioning of the energy markets, as well as represent them in court hearings. Experts of the company have licenses of the State Property Fund for restructuring of enterprises and pre-privatisation preparation and licenses of the State Securities and Stock Market Commission for providing brokerage and asset management services. The company has been an organiser of the international conferences and presentations devoted to reform of the energy sector of Ukraine, privatisation and investment opportunities. It also conducts public relations and investor relations campaigns on behalf of the clients. Not limiting its activities by energy sector, INEKO-Management has a significant experience of transactions in corporate and project finance, capital raising, asset management, mergers & acquisitions in such sectors as real estate, shipyards, trade, waste treatment, information technologies, etc. The company also has extensive track record of advising private companies and investment funds on participation in investment projects or acquisition of assets in Ukraine. General Director of INEKO-Management is Dr. Valeria Kulagina. Energy Consulting Group (EnCoG) Three former Ministers of Energy of Ukraine founded the company in 1996. Specialists of the company have more than 30 years of energy sector experience. Top managers of Energy Consulting Group participated in development of the concept of reformation and restructuring of the Ukrainian energy sector in 1993-1998, preparation of the Electricity Law, development of legal and normative framework of the Wholesale Electricity Market operations, establishment of energy distribution and energy generating companies. EnCoG was advisor to the Ministry of Fuel and Energy on the issues of the energy sector management and reform, privatisation and attraction of investments. Managers of EnCoG are members of the Advisory Council of the Ministry of Fuel and Energy of Ukraine, various Government Working Groups and Commissions responsible for the development of Ukrainian energy strategy and reformation of the Wholesale Electricity Market. In 2002 EnCoG was registered as consultant of the Parliament Committee on the Fuel and Energy Sector, Nuclear Policy and Nuclear Safety. EnCoG is also an official registered expert on technical issues with the National Electricity Regulatory Commission since 2001. The company has been a co-ordinator of the largest Ukrainian energy projects, including completion of construction of Dniester Hydro Pumped Storage Station and Dobrotvir Thermal Power Station-2, reconstruction of Burshtyn TPS "Island", construction of back-to-back direct current station at the connection with UCTE system, etc. The company has extensive track record in preparation of feasibility studies for the projects related to construction of new generating and transmission capacities or upgrade and rehabilitation of existing ones on behalf of European and Ukrainian energy companies. EnCoG is responsible for complete supervision of the project implementation, including technical design, preparation of feasibility studies and investment memorandums, economic and technical assessment of the project's viability, development of investment schemes, negotiations with state agencies, potential investors and lenders, procurement and installation of equipment. EnCoG is the author of the Concept of Ukrainian electricity export expansion and the Concept of development and implementation of automatic commercial energy metering systems in the Ukrainian energy sector. EnCoG has the state licenses for design and construction works, including planning, engineering and assembling works as well as the license № 43 of the State Committee of Ukraine on Energy Saving for conduction of energy inspections (energy audit). In 2001, EnCoG was recognised the Best Energy Audit Firm of Ukraine by the State Committee on Energy Saving. The company has significant experience of energy audit of large Ukrainian industrial enterprises and energy companies, including largest Ukrainian oil company Ukrnafta and chemical plant Severodonetsk Azot. EnCoG has significant experience of participation in the international technical assistance projects financed by USAID, European Commission, EBRD, World Bank and other international financial organisations. In 2001-2003, EnCoG was a local subcontractor of British Energy International NNC consortium in TACIS-funded project "Institutional Support of Energoatom National Nuclear Utility" where the company was involved in preparation of the corporate restructuring plan, evaluation of assets, preparation of recommendations for increase of efficiency of the company's operations, development of the corporatisation program. EnCoG took part in the World Bank's "Hydropower Rehabilitation and System Control Project" where the company was responsible for preparation of certain sections of the Project Implementation Completion Report on behalf of one of the local project beneficiaries - Diprohydroenergo power generating company. Currently, EnCoG is partner of US company Sargent Lundy in the project on construction of high voltage transmission lines in Odessa region financed by the European Bank for Reconstruction and Development. In 2001-2002, EnCoG was co-ordinator of corporatisation of several Ukrainian Combined Heat Power Plants and advised them on optimization of their operations and ways to attract investments under existing framework of the Wholesale Electricity Market. In 2004, EnCoG performed technical and economic review of the investment project on rehabilitation and modernization of Chernigiv CHPP as part of the review of CHPP's tariff application by NERC. During past years EnCoG served as advisor to international energy companies such as Tractebel, Union Fenosa International, AES Corporation, EDF International, System Consulting, Czechpol Energy as well as to variety of Ukrainian energy generating and distribution companies on the issues related to functioning of Ukrainian energy sector. Internet Projects The company deals with computer design, WEB site development and marketing, programming, implementation of information technologies, preparation of annual reports, presentations, and advertisements. The company has developed WEB sites for Ukrainian energy companies such as Dniprohydroenergo, Centrenergo, Zakhidenergo and other energy companies. The company has developed specialized information and trading system Ukrainian Energy Portal containing information about producers and suppliers of energy equipment.
