Spenser & Kaufmmann hosted IPO on WSE: from Idea to Placement Business Breakfast

On 21 October 2010 Spenser & Kauffmann hosted IPO on WSE: from Idea to Placement business breakfast that provided excellent opportunity for focusing on why and how Ukrainian companies go public and why Warsaw Stock Exchange could be interesting for them among others Stock Exchange areas. About 30 representatives of Ukrainian-based companies from different business industries gathered at Truffle restaurant to listen experts IPO on WSE, who provided detailed analysis of today's IPO mechanism, which Ukrainian companies face on their way to listing on WSE. The business breakfast, moderated by Valentyn Zagariya, managing partner with Spenser & Kauffmann, from I till O revealed the IPO placement via compilation of background and experiences of representatives of every side involved in the IPO placement.

Andriy Dubetsky, chief executive of Warsaw Stock Exchange Representative Office in Ukraine, opened the meeting giving overview on how an emerging growth company could go public and raise capital under reasonable terms and for reasonable fees by listing on WSE. Through the latest IPO showcase, Andriy Dubetsky illustrated how WSE tends to work best for companies and reasons to go to IPO with WSE.

Role of Investment Bank as the lead manager and brokerage during the IPO placement has been represented by managing director with Dom Inwestycyjny BRE Banku, Poland Investment Bank, Konrad Zawisza. Mr. Zawisza defined the key factors of IPO success and benefits from the IPO on WSE, additionally to in-depth analysis of Poland IPO market, including experience of foreign companies who are listed on WSE, intending to IPO and Ukrainian companies who may debut on WSE.

Ludomir Biedecki, managing partner with Biedecki Biedecki Olejnik, shared his experience on Polish/EU legal aspects of an IPO on the WSE. Based on his legal practice, Mr. Biedecki identified targets and responsibilities of legal advisor, IPO Polish regulations under applicable legislation of Polish law as well as specific features of IPO on WSE from legal standpoint.

Alexander Bondar, counsel to Spenser & Kauffmann on capital markets, jointly with Ruslan Shevchuk, counsel on corporate and M&A, touched upon Ukrainian aspects that every Ukrainian company should know on every stage (from idea to placement) of IPO on WSE giving to the audience preliminary scenario of IPO for Ukrainian company.
