Working closely with the lawyers in our Banking & Finance, Corporate & Commercial, and Tax Practices, we advise on all aspects of real estate development, financing, acquisition and disposal in the retail, residential, office, warehousing, and industrial sectors.

We assist our clients in the legal and financial structuring of real estate transactions and, when necessary, in the resolution of disputes.

Magisters is one of the few law firms to have advised on environmental regulation in the CIS. Our lawyers actively participate in such projects.

Our services include:

  • structuring and due diligence of real estate acquisitions and disposals.
  • change of land categorization and registration of such changes;
  • tax structuring of real estate transactions;
  • negotiation support and drafting investment and subcontracting agreements;
  • mortgage-backed securitization;

Construction

We advise on all stages in the construction of office, commercial, residential, warehouse, and industrial buildings, as well as their infrastructure. We are particularly experienced in the procurement of permits and approvals from relevant regulatory bodies in Russia and Ukraine, including local and federal government agencies, the state land cadastre, the forestry, water, and other environmental agencies.

Our services include:

  • structuring and support of greenfield and brownfield projects;
  • structuring and legal support of transactions for investor participation in development projects, the execution of investment contracts and participatory share construction agreements;
  • feasibility studies, including previous privatization and other risk assessments;
  • preparation of contract documentation, including the drafting and negotiation of construction contracts, including FIDIC model contracts;
