ING Bank Ukraine is glad to offer its share acquisition capabilities to Foreign Investors.
In line with the State Commission for the Securities and Stock Market (SCSSM) decision # 138, the ownership rights of Foreign Investors to Ukrainian equities have to be recorded exclusively by custodians. The decision effectively means that any transaction involving a Foreign Investor has to be settled on the books of a custodian. Otherwise, Foreign Investors run a legal risk of seeing their transactions cancelled by the SCSSM.
Based on the above, ING Bank Ukraine is in a position to offer Foreign Investors the custody settlement scheme for the acquisition of shares from minor shareholders/individuals through opening custody accounts for individual sellers and settling the transaction on the basis of Delivery versus Payment.
Foreign Investors can enjoy the following benefits:
Settlement is done on the basis of delivery against payment; therefore, there is no risk of making payment without receiving securities;
No need to control cash or securities movement: ING Bank Ukraine takes responsibility for arranging it;
The payment is done "in bulk": no need to control transfer of funds on a piece meal basis;
Transaction costs minimized due to the settlement scheme proposed (lower operational expenses, no high re-registration fee charged by registrars);
Foreign Investors do not have risks on local counterparties, brokers, registrar, individual shareholders.
