Dear Client,

Along the process of merger of HVB Group and UniCredit, on 19th of June 2007 the meeting of shareholders of HVB Ukraine1 took the decision to reorganize HVB Ukraine by means of accession to UniCredit Bank2 and to establish the Accession Commission3 which is in charge of the integration. On the 3rd of September 2007 UniCredit Bank will become the successor of HVB Ukraine’s all rights and obligations.

As a result of the accession of HVB Ukraine to UniCredit Bank, we will offer to you the full range of services and experience of the «First Truly European Banking Group» in Ukraine, without renouncing, on you part, to your usual contacts in the bank and in the branches and keeping the high level of banking services you are used to have.

In case you may wish to receive formal clarifications and consultations, you may submit a letter with your request to the Accession Commission until the 27th of August 2007 at the following address: Ukraine, c. Kyiv, 14a Yaroslaviv val str.

FREQUENTLY ASKED QUESTIONS
Will I have to give new documentation to the bank?
The documentation about your company you already provided to the bank is still valid. The usual update will be asked in the course of the usual business relationship (for example financial data) between the company and the bank.
Will I have to sign new contracts?
Generally no. All contracts (for example current account opening, signatures specimens, loan agreements, guarantees) are valid and transferred to the new bank. As for Card products only it will be necessary to sign new contracts, because the issued HVB Ukraine cards will be physically replaced by new ones issued by UnicrediBank.
Does any addendums to PKO, facility, pledge (that’s notary fees!) agreements need to be signed?
NO, clients will not be required either to sign any additional document or to present any additional information to Unicredit Bank. The only exception is related to Cards owner, where most likely a new contract for issuing the new Unicredit Bank card will be requested.
: Will I have to negotiate terms and conditions again?
The terms and conditions you already negotiated with HVB Ukraine will be fully maintained.
Where can I find my new account numbers?
: You received a letter that was sent on the 20th of Jun in which we detailed all the information regarding new account numbers of your company, together with the new SWIFT code and MFO of the bank. In case you do not find it, you can simply address your usual counterparts in the bank in order to obtain these pieces of information again.
Shall I inform tax admin for the current account change?
No, the Bank will inform directly Tax Administration Authorities, which will register all changes without necessity for you to do anything.
Are you going to change the location of the branch where I usually go?
: Some branches (with the exception of Kyiv and Odessa) will be relocated to nearest UCB branches (which are in better positions and with better layouts) in due course; special communication, with new addresses and phone numbers, will be sent soon to all customers involved.
Where can I find the new branch address I should go to?
You will receive a dedicated communication, stating the new address and the new phone numbers, but only if your usual branch will be relocated.
Will the usual phone numbers at my hand change?
Not immediately, but when HVB Ukraine branches relocation will be accomplished a special communication, with new addresses and phone numbers, will be sent in due time to all customers involved.
Will you inform my commercial counterparts about the current account change?
We cannot make any communication to companies that are not in direct relationship with the Bank. We suggest you inform all your business counterparts at your earliest convenience about the current account number change. To do so all relevant pieces of information (new account numbers, new SWIFT code, new MFO) are included in the communication letter we sent in June to all customers. We would like to remind you that legislation requires to amend respectively at least the export-import contracts
Is there any relevant additional information about the bank that I should know/Where can I find additional info about UnicreditBank?
You can visit our Unicredit Bank web site, www.unicredit.com.ua, or your usual contacts in the bank will be happy in giving you all the information you may need.
What is the procedure of re-registration of loans from non-residents in the NBU?
Registration certificates are needed to be replaced, but the bank will take care of this task (at the expense of our bank), probably we will need a letter-request from you for re-registration. The confirmation about exact procedure will be given after 04.07.2007. Any additional information you may receive at your normal counterparties in the bank.
What is the destiny of existing card products and the process/terms of transition to new cards?
The cards issued by HVB Ukraine will be for sure withdrawn before the 3rd of September, starting date of the new bank. In due time, in order not to let you without cards, new Unicredit Bank cards will be issued.  We will soon inform all the clients involved about the exact timing of the change and what it is requested on their part, most probably only the signature of a new contract + receipt of the new card.
What is the destiny of the electronic banking system (necessity to provide any additional documents to get access to new accounts, necessity of re-installation/re-generation of keys, certificates, new or the same web-site)?
the system will remain the same, with the usual features you already know and use. You will use your existing ID and password and there is no need to present additional request or documentation. The new web- site address where you can find the usual interface is https://ifobs.unicredit.com.ua:7002/ifobsClient. In case you use online banking via modem, the number of bank’s telephone line for modem pool will remain unchanged.
Starting which time my business counterparts should send funds in UAH/ FCY to new banking details (new account via new correspondent network)?
The date is September 3rd.
What is the destiny of funds if they are received after the merger to old banking details (in LCY and FCY)?
There is an automatic procedure that will redirect such inflows to your new account number, but only for a short period of time (few days only). We cannot extend such procedure for longer time because of precise rules set by the banking authorities. For preventing possible mismatch we highly recommend you inform your business counterparts on due time about your new current account number, as well as new SWIFT code of the bank and MFO. All these pieces of information you can find in our letter we sent on the 20 th of June.
Will the Operational Hours change? / What will be the Operational Hours?
No, there will not be any changes in Operational Hours neither in Kyiv nor in branches.
What is the starting time from which clients might use the network of Unicredit Bank as branches of their domestic bank?
Customers will be able to use UCB branches as their domestic branches immediately after the merger, starting from 3rd of September
Will there be service to Corporate clients within the retail branches in which no Corporate Regions are established? Will client be able to use cash desk in any of Unicredit Bank branches (having account in one)?
You can carry out your transactions and ask Corporate services in the branch where your current account is open, because there the documentation and signature specimen of your company is stored.
How lease of deposit safes will be organized? Will agreements be re-concluded and new tariffs implemented from merger?
Nothing will be changed: HVB Ukraine customers (they have safes only in Odessa and Kiev, where no relocation will take place) will maintain the same deposit safes, without necessity of signing new contract or negotiate again the terms and conditions.
What will be the destiny of the Brokerage Agreements concluded with HVBU in view of cancellation of HVBU License issued by State Commission on Securities and Stock Market?
Unicredit Bank is the legal successor of the rights and obligations of HVB Ukraine, therefore Unicredit Bank will continue in offering the same Brokerage activities as before, in full compliance with the existing regulations of the country.
What kind of operations will you be able to perform starting 3rd September?
Unicredit Bank will offer the same operations and transactions you used to carry out in HVB Ukraine.
What is the integration date?
Weekend 31 August – 3 September 2007
Are changes in product range for corporate customers expected to be done?
Existing products will be maintained as they are, except cards that will be issued again, and a proper communication on this topic is going to be released in due time. In addition it’s our interest to develop and offer the market a full range of new products, to match all the possible banking needs, and to do so we can now rely on the huge experience of Unicredit Group in the banking sector.
What advantages will bring the merger of the banks for corporate clients?
For sure our clients will have at their disposal the long lasting experience of Unicredit Group in the Corporate banking. This will allow us to offer our clients a wider and more qualified range of Corporate products and services in the near future. In addition to this, Unicredit Group is directly present in 19 European countries, and this fact gives a concrete chance to our customers to enlarge their business opportunities towards international markets.
Why is Unicredit Bank buying HVB Ukraine? Does HVB Ukraine have some financial problems?
Not at all, HVB Ukraine is well known bank in the local market, having very good and solid reputation and profitable results. The integration of HVB Ukraine into Unicredit Bank is the consequence of the merger initiated two years ago between Unicredit group based in Italy and HVB Group based in Germany, in order to create one of the most important banking player in the European market.
What is the destiny of the existing deposits open in HVBU by private and legal entities?
Nothing will change because these client assets will be kept by Unicredit Bank at the same conditions until maturity.
Who will deal with corporate customers in the branches?
Your usual bank counterparts will be at your full disposal.
Will there be changes in the credit policy of the bank for Corporate customers?
Not at the moment.
For facilities for individuals?
Not at the moment.
What new services will be implemented? What services will be terminated?
Nothing is expected to be changed at the moment, but we will now have the chance to pay more attention to the development of new corporate products, thanks to the international and long lasting experience of Unicredit Group in Corporate banking. In this respect, we would highly appreciate your professional contribution, helping us defining the appropriate products that could better match your needs. Any your requests/comments in this respect are welcome.
Does change of brand means that new key focus of the Bank will be servicing of individual customers?
No. We have different teams and the bank has sufficient and qualified resources to devote to all market segments.
Will the procedures of the bank / contact persons change for processing of different clients‘ operations (payment or FX transaction)?
You will submit the mentioned transactions in the same way you always did.
How the closing of existing and opening of new accounts will work? Timeline? Will there be old and new accounts active parallel?
There will be no account closing and re-opening. The existing accounts will be maintained with their current features, the only modification after the 3 rd of September will regard the current account numbers.
What is the procedure of re-registration of loans from non-residents in the NBU?
Registration certificates are needed to be replaced, for which you need to submit to the bank the following documents (foreseen by Regulation on the order of receipt of loans, borrowings in foreign currency from non-residents, and providing by residents loans to non-residents in foreign currency, approved by NBU resolution No 270 dated 17..06.2004 with subsequent changes): – Letter-application in a free form to the name of territory department of the National Bank of Ukraine; – Original of notary copy (made in Ukraine) of additional agreement to the loan agreement about change of payment details; – Original of new servicing bank consent for further service of operations under the loan agreement to the name of territory department of the National Bank of Ukraine; – Notification (two originals) about the agreement, which defined by Annexes 3 and 4 of the Regulation; – Copy of payment order for payment of fee to NBU. Respective notification ¹ 3038/4 dated 06.08.2007 was sent to your address with samples of requested documents. Although legislation defines that the customer shall execute such re-registration we take this obligation on your behalf. Also we will compensate the expenses paid to NBU after re-registration. After the merger, i.e. on 03.09.2007 the bank HVB Ukraine will not be existent in system of electronic payments (SEP), therefore payments will not be executed to old accounts. In case of international payments there will be redirection of payments to your new account number, but only for a short period of time (few days only). We cannot extend such procedure for longer time because of precise rules set by the banking authorities. For preventing possible mismatch we highly recommend you inform your business counterparts on due time about your new current account number, as well as new SWIFT code of the bank and MFO. Old accounts will be existent until till of closing the operational day 31.08.2007. New accounts will be active on 09:00 on 03.09.2007 since opening the operational day.
